End-User License Agreement (EULA)
Software license terms that apply when you install, copy, or use the Chordize AI desktop application.
1. Parties and acceptance
This End-User License Agreement (the "EULA") is a binding contract between you ("you", "user") and Chordize AI Inc., operating under the brand Chordize AI (the "Licensor", "we", "us"). Our contact address is #1219, 39 Niagara Street, Toronto ON M5V 0T6, Canada, and our contact email is support@chordize.com.
You accept this EULA by any of the following: (a) clicking "I accept" or a similar button in the installer; (b) installing, copying, or otherwise using the Chordize AI desktop application (the "Software"); or (c) authenticating to Chordize AI through the Software. If you do not agree, do not install, copy, or use the Software, and cancel or uninstall any copy you have.
This EULA is incorporated into and supplements our Terms of Service, Acceptable Use Policy, Privacy Policy, Pricing and Fee Terms, and Refund Policy. If this EULA conflicts with those documents on a matter of desktop software rights, this EULA controls for the Software; on all other matters, those documents control.
2. Licence grant
Subject to your ongoing compliance with this EULA, our Terms of Service, and the Acceptable Use Policy, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use one copy of the Software on devices that you own or control, solely for the purpose of accessing the Chordize AI Service in the ordinary course of your permitted use.
All rights not expressly granted are reserved. This EULA does not grant you rights in Chordize AI's trade marks, logos, service marks, trade names, or any AI model, prompt library, or configuration that is not part of the Software binaries.
3. Restrictions
You must not, and must not permit anyone else to:
- copy, distribute, publish, upload, mirror, resell, rent, lease, sublicense, or lend the Software;
- modify, adapt, translate, port, or create derivative works from the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or model routing logic from the Software, except to the limited extent applicable law expressly permits despite this restriction;
- remove, obscure, or alter any copyright, trade mark, or proprietary notice;
- bypass or attempt to bypass authentication, rate limits, wallet debits, safety filters, telemetry consent, licence checks, or usage controls;
- use the Software to develop a competing product, or to benchmark it for a competing product, without our prior written consent;
- use the Software in an unlicensed environment, in a shared / kiosk / server / virtual-desktop deployment for multiple end users, or in any way that circumvents per-user identity and metering; or
- use the Software in violation of the Acceptable Use Policy, third-party AI provider policies, payment processor policies, sanctions/export laws, or any other applicable law.
4. Updates and version support
The Software may periodically retrieve minimal version and release metadata to determine whether a newer supported version is available. The current update flow notifies you and provides a link to the signed installer; it does not silently download or install the update. You choose whether and when to open the link, download the installer, and run it. Updates may add, change, or remove features; may require you to agree to updated terms; and may stop supporting older versions or operating systems. If a security-critical version becomes mandatory, we may block or limit an outdated version and direct you to update. We will provide additional notice and obtain any consent required by law before introducing a materially different automatic-update flow.
5. What the Software does on your device
To provide the Service, the Software may perform the following on your device. By installing, you acknowledge these behaviours:
- Global keyboard shortcuts: the Software registers system-wide hotkeys (for example Alt + F8 to analyze selected text) so it can respond even when its window is not focused.
- Clipboard access: when you press the analyze hotkey, the Software may temporarily use the clipboard to capture the text you have selected, transmit it to Chordize AI, and then restore the previous clipboard contents where possible. This clipboard action happens only when you invoke the hotkey.
- System tray presence: the Software runs in the Windows system tray so it can be summoned from any app.
- Optional launch at sign-in: during install you may choose to have the Software start automatically when you sign in to Windows. You can turn this off at any time in Windows Startup settings or by re-running the installer.
- Local credential storage: authentication tokens are stored in the Windows Credential Manager under a Chordize AI target. Tokens are not written to disk in plaintext by the Software.
- Diagnostic and crash information: where enabled, minimal diagnostic and error information may be transmitted to us to help investigate faults. See the Privacy Policy for details.
- Network access: the Software connects to Chordize AI's servers and, through Chordize AI, to third-party AI, detection, and payment providers.
The Software does not read your screen contents, record keystrokes, monitor other apps, capture microphone or camera input, or transmit any file from your device unless you explicitly submit it through the Service.
6. Third-party components
The Software includes third-party open-source components (including the Qt framework, licensed under LGPL-3.0). Attribution notices and licence texts are shipped with the Software in the file THIRD_PARTY_NOTICES.txt in the installation directory, and are also available at chordize.com/third-party-notices. Your use of those components is also governed by their respective licences. LGPL replacement rights are described in that file.
7. Data collection and privacy
The Software collects and transmits personal information and usage data as described in the Privacy Policy. By installing, you acknowledge that Privacy Policy. Where you have to make a distinct choice (for example, opt-in to non-essential diagnostics), the Software will ask you separately.
8. Ownership
The Software, including all copies, is licensed, not sold. Chordize AI and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Nothing in this EULA transfers ownership of the Software to you.
9. Term and termination
This EULA takes effect when you first accept it and continues until terminated. It terminates automatically if you breach any of its terms. We may also terminate or suspend the licence if we suspend or terminate your Chordize AI account under the Terms of Service. On termination, you must stop using the Software and uninstall all copies. Sections that by their nature survive termination (including Restrictions, Ownership, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive.
10. Export controls and sanctions
The Software and the underlying AI providers may be subject to Canadian, U.S., EU, and other export-control and sanctions laws. You must not download, install, or use the Software if you are located in, or are a resident or national of, a country or region subject to a comprehensive embargo by the Government of Canada or the U.S. Office of Foreign Assets Control (OFAC), or if you are on any restricted-party list. You must not use the Software for any prohibited end-use.
11. Disclaimers
To the maximum extent permitted by law, the Software is provided "AS IS" and "AS AVAILABLE", with all faults, and without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim any warranty of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, uninterrupted use, error-free operation, or accuracy of AI outputs.
12. Limitation of liability
To the maximum extent permitted by law, in no event will Chordize AI, its affiliates, licensors, contractors, suppliers, or service providers be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, loss of goodwill, business interruption, substitute services, or damages arising from Software failure, provider changes, or your use or inability to use the Software. To the maximum extent permitted by law, our total aggregate liability under this EULA is limited to the amount you paid Chordize AI in the three months before the event giving rise to the claim, or CAD $100, whichever is greater. The Terms of Service also apply and may further limit our liability.
13. Indemnity
You will defend, indemnify, and hold harmless Chordize AI, its affiliates, contractors, suppliers, licensors, payment processors, and service providers from and against any claim, damage, liability, loss, cost, or expense (including reasonable legal fees) arising from or related to your breach of this EULA, your misuse of the Software, or your violation of any law or third-party right in connection with the Software.
14. Governing law and disputes
This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, excluding conflict-of-law rules. Subject to mandatory consumer protection laws that apply where you live, the courts located in Ontario, Canada have exclusive jurisdiction over disputes arising out of or in connection with this EULA. Before starting any formal claim, you agree to contact us at support@chordize.com and try to resolve the dispute informally for at least 30 days.
15. Changes to this EULA
We may update this EULA from time to time. Updated versions will be posted on our website with a new effective date and version tag. For material changes, we may provide notice inside the Software, by email, or during checkout. Continued use of the Software after the effective date means you accept the updated EULA. If you do not agree, uninstall the Software.
16. Entire agreement
This EULA, together with the Terms of Service, Acceptable Use Policy, Privacy Policy, Pricing and Fee Terms, and Refund Policy, is the entire agreement between you and Chordize AI concerning the Software. If any provision is held unenforceable, the remaining provisions remain in effect.
